GENERAL CONTRACT FOR SERVICES no.        /         

 

 

The present Contract for Services is applying to all services rendered by Craft Building.

 

Is customer responsibility to check all terms and condition, technical information and to request explanations for any detail which he consider inexplicit or does not understand.

The present Contract for Services is a legal bounding between:

Craft Building, trade name of DeLux Ideas LTD. registered in England and Wales with the head office located at: 16 Appleby Drive, Croxley Green, WD33FP (the “Contractor”)

 

AND

 

Any end customer or company which intend to purchase goods from Craft Building, called    (the “Client”)

 

 

 

  1. BACKGROUND
  1. The Client is of the opinion that the Contractor has the necessary qualifications, experience and abilities to provide services to the Client.
  2. The Contractor is agreeable to providing such services to the Client on the terms and conditions set out in this Contract.

IN CONSIDERATION OF the matters described above and for mutual benefits and obligations set forth in this Contract, the receipt and sufficiency of which consideration is hereby acknowledged, the Client and the Contractor (individually the “Party” and collectively the “Parties” to this Contract) agree as follows:

  1. SERVICES PROVIDED

The Client hereby agrees to engage the Contractor to provide the Client with the following services (the “Services”):

The Services will also include any other tasks which the Parties may agree on. The Contractor hereby agrees to provide such services to the Client further named in the Contract as “Extra work”.

  1. TERM OF CONTRACT

The term of this Contract (the “Term”) will begin on the date of this Contract and will remain in full force and effect until the completion of the Services, subject to earlier termination as provided in this Contract. The Term may be extended with the written consent of the Parties.

  1. CURRENCY

Except as otherwise provided in this Contract, all monetary amounts referred to in this Contract are in GBP.

  1. PAYMENT
  2. REIMBURSEMENTS OF EXPENSES
  3. EXTRA  WORK OPERATIONS

The Parties will refer as Extra work to all operations and tasks necessary or not for Term completion as long as they both agreed in writing as the Extra work sheet.

  1. RETURN OF PROPERTY
  2. CAPACITY/INDEPENDENT CONTRACTOR
  3. RIGHT OF SUBSTITUTION
  4. AUTONOMY

Except as otherwise provided in this Contract, the Contractor will have full control over working time, methods and decision making in relation to provision of the Services in accordance with the Contract. The Contractor will work autonomously and not at the direction of the Client. However, the Contractor will be responsive to the reasonable needs and concerns of the Client.

  1. EQUIPMENT

Except as otherwise provided in this Contract, the Contractor will provide at the Contractor`s own expense, any and all tools, machinery, equipment, raw materials, supplies, workwear and any other items or parts necessary to deliver the Services in accordance with the Agreement.

  1. NO EXCLUSIVITY

Both the Client and the Contractor acknowledge that this Contract is non-exclusive and that either party will be free, during and after the Term, to engage or contract with third parties for the provision of services similar to the Services

  1. NOTICE

All notices, requests, demands or other communications required or permitted by the terms of this Contract will be given in writing and delivered to the parties at the following addresses:

  1. INDEMNIFICATION
  2. MODIFICATION OF CONTRACT

Any amendment or modification of this Contract or additional obligation assumed by either Client or Contractor in connection to this Contract will only be binding if evidenced in writing signed by each party or an authorised representative of each party.

  1. TIME OF THE ESSENCE

Time is of the essence of this Contract. No extension or variation of this Contract will operate as a waiver of this provision.

  1. ENTIRE AGREEMENT

It is agreed that there is no representation, warranty, collateral agreement or conditions affecting this Contract except as expressly provided in this contract.

  1. GOVERNING LAW

This contract will be governed by and construed in accordance with the laws of England and Wales.

  1. SEVERABILITY

In the event that any of the provisions of this Contract are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this Contract.

  1. WAIVER

The waiver by either Client or Contractor of a breach, default, delay or omission of any of the provisions of this Contract by the other party will not be construed as a waiver of any subsequent breach of the same or other provisions.
